Part One: Terms and Conditions of Sale
1. Acceptance of Terms
These Terms and Conditions of Sale (“Terms”) govern every purchase of products, repair services, parts, and subscription services (including ForgeMRO) from StrapForge LLC, an Illinois limited liability company doing business as StrapForge Tool Repair (“StrapForge,” “we,” “us,” or “our”). By placing an order, submitting a tool for repair, checking an acceptance box at checkout, signing a quotation, or otherwise using StrapForge's website or services, the purchaser (“Buyer,” “you,” or “Customer”) agrees to be bound by these Terms.
StrapForge sells to businesses. These Terms are drafted for business-to-business (B2B) transactions and are not intended for, and should not be relied on by, consumer purchasers.
If these Terms conflict with any purchase order, invoice, or other document issued by Buyer, these Terms control unless a StrapForge officer agrees to different terms in a signed writing.
2. Definitions
- “Products” means any tool, part, electronic assembly, consumable, or piece of hardware sold by StrapForge, including items sold under the StrapForge, CoreForge, ReForge, PartsForge, or ForgeMRO names.
- “Services” means repair, refurbishment, diagnostic, and related labor performed by StrapForge on Buyer's equipment.
- “Site” means strapforge.com and any storefront, portal, or app operated by StrapForge, including the ForgeMRO mobile app and browser portal.
- “Quotation” means a written estimate or price quote issued by StrapForge for Products or Services.
3. Pricing and Payment Terms
Default payment terms are Cash on Delivery (COD) for any Buyer not set up with an approved customer account. Buyers approved for a customer account are billed NET 30 days from the invoice date unless a different schedule is agreed to in writing.
A late payment fee of 1.5% per month applies to any balance still outstanding 45 days past the invoice date.
Credit card payments carry a 5% processing fee. ACH and check payments do not. Buyer is responsible for all applicable sales, use, and excise taxes in addition to the quoted price.
Unless a Quotation states otherwise, quoted pricing and payment terms remain valid for 30 days from the date of the Quotation. Prices are subject to change without notice after that window.
4. Delivery, Title, and Risk of Loss
All shipments are FOB Shipping Point. Title to Products and risk of loss transfer to Buyer at the moment the Products leave StrapForge's facility, regardless of who arranges or pays for freight. Buyer is responsible for filing any freight-damage or lost-shipment claim directly with the carrier.
Unless a Quotation states different delivery terms, freight is quoted collect, meaning Buyer's carrier account is charged directly. StrapForge will use Buyer's designated UPS or FedEx account number where one is provided.
Delivery dates are estimates only. StrapForge is not liable for delays caused by carriers, suppliers, or events outside its reasonable control (see Section 12, Force Majeure).
5. Order Cancellation
Standard stock orders may be canceled at no charge any time before the order ships.
Custom orders, including custom-configured electronic assemblies, custom tool builds, and any order already in production, may not be canceled once work has begun except on the following terms. If Buyer cancels after production has started, StrapForge will charge the greatest of:
- a minimum cancellation charge equal to 15% of the quoted price;
- a pro rata charge based on the percentage of the work actually completed as of the cancellation date; or
- the full quoted price, if the work is 75% or more complete as of the cancellation date.
6. Returns and Restocking
Buyer has 30 days from the date of delivery to request a return. Contact StrapForge to obtain a return authorization before shipping anything back; unauthorized returns may be refused.
New, unused Products, in original packaging: eligible for a refund of the purchase price less a 20% restocking fee. Return freight is Buyer's responsibility and is shipped collect on Buyer's UPS or FedEx account number.
Used or opened Products: a Product that has been removed from its packaging, tested, installed, or otherwise used is not eligible for a standard return, because StrapForge can only resell it as used inventory. Instead, StrapForge will inspect the returned Product and, at its sole discretion, offer a buyback of up to 70 to 80% of the original purchase price based on condition. Buyer may accept the buyback offer or decline and have the Product shipped back at Buyer's expense.
Non-returnable items: custom-configured electronic assemblies, special orders, and any Product that has been electrically powered or physically modified are final sale and not eligible for return or buyback, except for warranty claims under Section 8.
7. Repair Services Terms
The following terms apply specifically to tools sent to StrapForge for repair, in addition to the general Terms above.
Estimates. Every repair begins with a free estimate before any work is performed. StrapForge does not quote pricing before a tool is on the bench, because a tool's actual condition determines the real cost.
Tools received disassembled. If Buyer has already disassembled the tool before shipping it in, Buyer is responsible for bagging small parts and protecting fragile components (boards, motors, and similar) against damage in transit.
Mid-repair scope changes. If additional parts discovered during the repair push the total more than $100 past the original estimate, StrapForge will stop and obtain Buyer's approval before continuing. Overages under $100 will simply be completed and included on the final invoice.
Repair-versus-replace threshold. If the repair cost is projected to exceed 50% of the cost of a comparable new tool, StrapForge will pause and recommend Buyer speak with a sales representative before authorizing further work.
Declined estimates. There is no charge for the estimate itself. If Buyer declines the recommended repair, return shipping is collect on a UPS or FedEx account number provided by Buyer. StrapForge does not cover return freight on declined repairs.
Turnaround. Typical turnaround is 1 to 2 weeks from receipt when needed parts are in stock. If a part must be ordered, StrapForge will provide a specific revised timeline rather than a general estimate.
Parts used in repairs. StrapForge uses both OEM and aftermarket parts. Every aftermarket part is tested by StrapForge's engineering staff before installation. Buyer may request OEM-only or aftermarket-only parts at the time the tool is submitted.
PartsForge. For Buyers with an active fleet of tools moving through repair, StrapForge maintains a dedicated, per-customer bin of tested, reclaimed parts pulled from tools not worth repairing individually. These parts belong to that Buyer and are drawn from first on that Buyer's future repairs. If a bin goes inactive with no further repair work in the pipeline, StrapForge will contact Buyer, who may choose to have the remaining parts scrapped or shipped back collect on a UPS or FedEx account number.
Scope exclusions. StrapForge repairs strapping tools and other pneumatic tools. StrapForge does not repair hydraulic tools. If you are unsure whether your equipment is in scope, ask before shipping it in.
8. Product and Repair Warranty
CoreForge repairs. CoreForge does not carry a stated warranty period. Instead, if a tool does not work when it arrives back with Buyer, StrapForge will fix it at no charge.
ReForge refurbishment. ReForge carries a 90-day warranty on labor and on non-wear parts. Wear parts are those the original manufacturer's own documentation identifies as expected to wear out through normal use, and are not covered by this warranty window.
New Products (hand tool line, aftermarket electronic assemblies, and other Products sold new). StrapForge warrants that new Products will be free from defects in materials and workmanship under normal use for 90 days from the date of receipt. This warranty does not cover wear parts, or damage caused by misuse, negligence, accident, unauthorized modification, or use outside the Product's intended application.
OEM tools and equipment distributed by StrapForge. The 90-day warranty above applies only to Products that StrapForge itself repairs, refurbishes, or manufactures. It does not cover OEM tools or equipment that StrapForge distributes but does not manufacture. For those items, the original manufacturer's warranty passes through to Buyer as-is, on whatever terms, and for whatever duration, that manufacturer provides. StrapForge's role for distributed OEM Products is limited to facilitating the pass-through warranty claim with the manufacturer, and StrapForge makes no independent warranty of its own on those Products.
What voids a warranty. Misuse, drops or impact damage, operating a tool dry without lubrication, moisture or contaminants entering an air line, use for an application the tool was not built for, or Buyer opening the tool and attempting a repair before sending it to StrapForge, all void the applicable warranty.
Warranty claims are not transferable beyond the original Buyer of record unless StrapForge agrees otherwise in writing.
9. Disclaimer of Warranties; Limitation of Liability
EXCEPT FOR THE EXPRESS WARRANTIES STATED IN SECTION 8 ABOVE, STRAPFORGE MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. STRAPFORGE DOES NOT WARRANT THAT ANY PRODUCT OR SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. FOR OEM PRODUCTS DISTRIBUTED BUT NOT MANUFACTURED BY STRAPFORGE, STRAPFORGE MAKES NO WARRANTY OF ITS OWN; BUYER'S SOLE REMEDY IS THE ORIGINAL MANUFACTURER'S PASS-THROUGH WARRANTY, IF ANY.
StrapForge does not take responsibility for product liability arising out of Buyer's or Buyer's customer's specific application of a Product, where that liability results from a lack of information provided to StrapForge about the intended application.
IN NO EVENT WILL STRAPFORGE BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST BUSINESS, OR LOST GOODWILL, EVEN IF STRAPFORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY UNDER THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.
STRAPFORGE'S TOTAL, AGGREGATE LIABILITY TO BUYER ARISING OUT OF OR RELATED TO ANY PRODUCT OR SERVICE, UNDER ANY THEORY OF LIABILITY (CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER TO STRAPFORGE FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
StrapForge's sole obligation for any breach of the warranties in Section 8 is, at StrapForge's option, to repair the Product, replace it, or refund the portion of the purchase price paid for it.
10. Intellectual Property
STRAPFORGE, StrapForge Tool Repair, CoreForge, ReForge, PartsForge, and ForgeMRO are trademarks or service marks of StrapForge LLC, whether registered, pending registration, or used under common law. Nothing in these Terms grants Buyer any license to use StrapForge's marks, logos, or branding without StrapForge's prior written consent.
StrapForge is an independent, third-party repair and parts provider. StrapForge is not affiliated with, associated with, authorized by, endorsed by, or otherwise officially connected with Signode, Fromm, ITA, Encore, United Strapping Tools, or any other original equipment manufacturer referenced on StrapForge's website or marketing materials. All such brand names and trademarks are the property of their respective owners.
Buyer acknowledges that StrapForge's repair or refurbishment of a third-party manufacturer's tool may void that manufacturer's original warranty, and that Buyer should confirm warranty status with the original manufacturer before submitting a tool for service.
11. Confidentiality
Any communication, documentation, pricing, or technical information provided by a StrapForge employee to Buyer is confidential and intended solely for the recipient. Disclosure of that information to third parties without StrapForge's express written consent is prohibited.
12. Force Majeure
StrapForge is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, fire, flood, labor disputes, government action or regulation, epidemic or pandemic, supplier or carrier disruption, or shortages of materials, parts, or transportation. Performance will be resumed as soon as reasonably practical once the condition causing the delay has passed.
13. ForgeMRO Subscription Terms
This Section 13 applies to any Buyer using ForgeMRO, StrapForge's fleet management platform for tracking repairs, tool history, and performance across a Buyer's tool inventory, including the ForgeMRO mobile app, NFC tags, and browser portal (collectively, the “ForgeMRO Service”).
License. StrapForge grants Buyer a limited, non-exclusive, non-transferable right to access and use the ForgeMRO Service for Buyer's own internal fleet management purposes, for as long as Buyer's subscription or access remains active.
Account responsibility. Buyer is responsible for safeguarding its login credentials and for all activity that occurs under its ForgeMRO account.
Data ownership. Buyer retains ownership of the raw fleet and tool data it inputs or generates through the ForgeMRO Service. StrapForge retains ownership of the ForgeMRO platform itself, together with any aggregated or de-identified data derived from use of the Service across StrapForge's customer base.
Acceptable use. Buyer will not reverse engineer, resell, sublicense, or provide third-party access to the ForgeMRO Service without StrapForge's written consent, and will not attempt to scrape or bulk-extract data from the Service outside its normal reporting features.
Availability. The ForgeMRO Service is provided on an “as is” and “as available” basis. StrapForge does not guarantee uninterrupted availability and may perform scheduled maintenance with reasonable notice where practical.
Fees.
Termination. Either party may terminate ForgeMRO access on written notice. On termination, Buyer's access ends, and StrapForge will make Buyer's underlying fleet data available for export for 30 days following termination, after which it may be deleted.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-laws principles. Buyer agrees that any dispute arising out of or related to these Terms, or to any purchase from StrapForge, will be brought exclusively in the state or federal courts located in Kane County, Illinois, and Buyer consents to the personal jurisdiction of those courts.
15. General Provisions
Entire agreement. These Terms, together with any Quotation or invoice issued by StrapForge, are the entire agreement between the parties regarding the subject matter and supersede any prior or contemporaneous agreements on that subject.
Changes to these Terms. StrapForge may update these Terms from time to time by posting a revised version to its website. Continued use of StrapForge's Site or services after a revision takes effect constitutes acceptance of the revised Terms.
Electronic acceptance. Placing an order through StrapForge's Site, checking an acceptance box at checkout, or shipping a tool in for repair each constitute acceptance of these Terms, whether or not a physical signature is obtained.
Assignment. Buyer may not assign or transfer its rights under these Terms without StrapForge's prior written consent. StrapForge may assign these Terms without Buyer's consent in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
No waiver. StrapForge's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision, or any other provision, later.
Part Two: Privacy Policy
This Privacy Policy explains what information StrapForge LLC collects through strapforge.com, its online store, and the ForgeMRO platform, how that information is used, and the limited circumstances in which it is shared.
1. Information We Collect
Account and order information: name, company name, email address, phone number, billing and shipping address, and order history, collected when you create an account, place an order, or request a repair.
Payment information: payment card and ACH details are collected and processed directly by our payment processor and store platform. StrapForge does not store full payment card numbers on its own systems.
Site usage information: standard technical and usage data collected automatically through cookies and similar technologies, such as IP address, browser type, pages viewed, and referring site.
ForgeMRO data: if you use the ForgeMRO platform, we collect tool identifiers, NFC tag scan events, repair and maintenance history, and related fleet performance data that you or your team input or generate through the app or portal.
Communications: records of support requests, repair estimates, and other correspondence with StrapForge.
2. How We Use Information
- To process and fulfill orders, quotes, and repairs
- To operate your account and the ForgeMRO platform
- To communicate with you about your order, repair status, or account
- To provide customer support and honor warranty claims
- To improve our Site, products, and services
- To send marketing communications, where you have opted in, which you may unsubscribe from at any time
- To comply with legal, tax, and accounting obligations
3. Cookies and Analytics
Our online store uses cookies and similar technologies to operate core storefront functions (such as your shopping cart), measure Site performance, and, where applicable, support marketing analytics. You can control cookies through your browser settings; disabling cookies may affect some Site functionality, such as checkout.
4. How We Share Information
StrapForge does not sell your personal information, and does not share it with third parties for their own independent marketing purposes.
We share information only in the following circumstances:
- With service providers who perform functions on our behalf, such as payment processing, shipping carriers, and hosting, under obligations to protect your information and use it only to provide those services;
- When required by law, subpoena, or other legal process, or to protect the rights, property, or safety of StrapForge, our customers, or others;
- In connection with a business transfer. If StrapForge is acquired, merges with another company, or enters into a partnership or sale involving all or part of its business or assets, customer information may be disclosed to, and transferred to, the acquiring or partnering company as part of that transaction. If this happens, that company will be bound to handle your information consistently with this Policy, or will provide notice of any materially different practices.
5. Data Security
We maintain reasonable administrative, technical, and physical safeguards designed to protect your information against unauthorized access, alteration, disclosure, or destruction. No method of storage or transmission is completely secure, and we cannot guarantee absolute security.
6. Data Retention
We retain personal information for as long as needed to provide our services, maintain business records, and comply with legal, tax, and accounting requirements, after which it is deleted or de-identified.
7. Your Choices and Rights
You may request to access, correct, or delete the personal information we hold about you, and you may opt out of marketing communications at any time using the unsubscribe link in any marketing email or by contacting us directly. Depending on where you are located, you may have additional rights under applicable state or federal privacy law; contact us and we will respond consistent with those requirements.
8. Children's Privacy
StrapForge is a business-to-business site and is not directed to individuals under 18. We do not knowingly collect personal information from minors.
9. Changes to This Policy
We may update this Privacy Policy from time to time. The effective date at the top of this document reflects the most recent revision. Material changes will be reflected on this page.
